These Terms & Conditions ("Terms") govern your use of the Blackwater RC website at blackwaterrc.com (the "Website"), your membership account, purchases made through the Website, and your participation in activities organized by Blackwater RC where these Terms are made applicable.

The Website is operated by AND ASSOCIATES STUDIO, LLC, doing business as Blackwater RC ("Blackwater RC," "we," "us," or "our").

By accessing the Website, creating an account, purchasing products, or registering for activities, you agree to these Terms and any applicable policies referenced below.

If you do not agree, please do not use the Website or its services.

1. ELIGIBILITY

You must be at least 18 years old to create a membership account or make purchases through the Website, unless otherwise permitted by applicable law and expressly authorized by Blackwater RC.

You agree to provide accurate information when registering for an account, purchasing products, or signing up for activities.

You must not use the Website or its services for unlawful purposes.

We may refuse access to our services where reasonably necessary to comply with applicable law or protect the Website, our members, or other participants.

1. MEMBERSHIP ACCOUNTS

Blackwater RC offers free membership accounts through the Website.

Membership allows you to manage your personal information, view eligible club activity records, access order history, and manage communication preferences.

Membership does not require a purchase and does not guarantee access to events, products, or other benefits.

2.1 Account Registration

You may register using a valid email address.

To sign in, we send a six-digit verification code to your registered email address. A password is not required.

You are responsible for maintaining access to your email account and preventing unauthorized use of your membership account.

You must not share verification codes or allow another person to access your account without authorization.

Please contact us promptly if you believe your account has been accessed without permission.

2.2 Account Information

You may choose to provide additional information, including your name, telephone number, country or region, date of birth, and emergency contact details.

These fields are optional unless otherwise stated.

If you provide emergency contact information, you confirm that you have informed the person concerned and obtained their permission to share their information with Blackwater RC.

Emergency contact information will be used only when reasonably necessary in connection with an emergency involving you at a club activity.

Your profile information is not publicly displayed to other members.

2.3 Account Access and Restrictions

We may suspend, restrict, or close an account where we reasonably believe that:

The account has been used fraudulently or without authorization.

The account holder has provided materially false information.

The account has been used in violation of these Terms or applicable law.

The account holder has engaged in conduct that threatens the safety or rights of other members, participants, or staff.

We will act reasonably and proportionately when applying restrictions.

Where appropriate, we may notify you and provide an opportunity to address the issue.

1. MEMBERSHIP FEATURES

Membership features may include personal profiles, club activity history, order history, badges, and account settings.

We may add, modify, suspend, or discontinue membership features from time to time.

3.1 Club History

Your account may display activities for which you registered or attended through Luma.

Club history is generally matched using the email address associated with your membership account.

Activities registered under a different email address may not appear automatically.

Attendance information may take several days to appear after an activity.

We may correct incomplete or inaccurate records when necessary.

3.2 Activity Statistics and Badges

Your account may display information such as:

Total activities attended.

Total distance completed with Blackwater RC.

Longest recorded run.

Participation badges or club-assigned titles.

These records are provided for personal reference.

Distances, participation statistics, badges, and titles may be calculated or assigned using information available to Blackwater RC.

They may be corrected or updated when new information becomes available.

Badges and titles have no monetary value and do not create any entitlement to products, services, discounts, or event access.

3.3 Order History

Your account may display eligible purchases associated with your registered email address.

Order information is provided through Shopify and may be subject to limitations relating to historical records or account matching.

If an order does not appear in your account, this does not affect your rights relating to that purchase.

1. EVENT REGISTRATION AND PARTICIPATION

Blackwater RC organizes running activities, community gatherings, and other events.

Some activities are open to the public, while others require advance registration.

Event details, including location, time, capacity, fees, and participation requirements, will be communicated through the relevant event listing or registration platform.

4.1 Registration

Registration for certain activities is managed through Luma or another designated platform.

Submitting a registration does not guarantee participation unless your place has been confirmed.

Where an activity has limited capacity, additional registrations may be placed on a waitlist.

Waitlisted participants may receive confirmation if additional places become available.

You are responsible for checking your registration status and any updates sent through the registration platform.

4.2 Cancellations and Attendance

If you can no longer attend a registered activity, you should cancel your registration through the designated platform before the activity begins.

This allows Blackwater RC to offer the available place to another participant.

We may maintain attendance records to manage activity capacity, improve event planning, and support fair access to limited-capacity activities.

4.3 No-Show Policy

For activities requiring advance registration, Blackwater RC may apply the following policy to confirmed participants who do not attend and have not canceled their registration in advance.

After two recorded no-shows, the participant may receive lower registration priority for future activities that reach capacity. Waitlisted participants may be given priority.

After three recorded no-shows, the participant may be restricted from registering for the next three Blackwater RC activities requiring advance registration.

This policy does not apply to regular activities that do not require registration.

We may review individual circumstances, including emergencies, before applying a restriction.

Participants may contact Blackwater RC if they believe an attendance record or restriction is incorrect.

4.4 Activity Changes and Cancellations

We may change, postpone, or cancel an activity due to weather, safety concerns, venue availability, operational requirements, or circumstances beyond our reasonable control.

We will make reasonable efforts to notify registered participants through the relevant event platform or our official communication channels.

For paid activities, any applicable refunds will be handled according to the terms communicated at registration and applicable law.

4.5 Health and Safety

Running and physical activities involve inherent risks, including injury, illness, and accidents.

You are responsible for assessing whether an activity is appropriate for your physical condition and experience.

You should follow reasonable safety instructions provided by event organizers and staff.

If you feel unwell or are unable to continue safely, you should stop participating and inform an organizer where reasonably possible.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

1. ORDERS AND PURCHASES

Products offered through the Website are subject to availability.

Placing an order constitutes an offer to purchase the selected products.

An order is accepted when we confirm its acceptance or otherwise fulfill it.

We may decline or cancel an order where reasonably necessary, including where:

A product is unavailable.

A material pricing or product information error has occurred.

Payment cannot be completed or verified.

We reasonably suspect fraudulent activity.

The order cannot lawfully be fulfilled.

If payment has already been collected for an order that we cancel, we will arrange a refund in accordance with applicable law.

5.1 Pricing and Payment

Product prices are displayed in the currency indicated on the Website.

The total amount payable, including applicable shipping charges and taxes, will be shown during checkout.

Payments are processed through Shopify and its supported payment providers.

Your bank or payment provider may apply additional charges, including foreign transaction or currency conversion fees.

We are not responsible for charges imposed independently by your bank or payment provider.

5.2 Product Availability

Products may be produced in limited quantities.

Adding a product to your cart does not reserve it.

We may limit purchase quantities where reasonably necessary to maintain fair access or prevent unauthorized resale.

5.3 Product Information

We make reasonable efforts to provide accurate product descriptions, measurements, prices, and photographs.

Minor variations in color, dimensions, or appearance may occur due to manufacturing tolerances or differences in display settings.

Product information may be corrected or updated when necessary.

Your statutory rights are not affected by these provisions.

1. SHIPPING AND DELIVERY

Orders are shipped using the delivery services offered at checkout.

Shipping fees and available delivery destinations will be displayed before payment.

Delivery dates and processing times are estimates unless expressly guaranteed.

We will make reasonable efforts to dispatch orders within the stated timeframe.

Delays may occur due to product availability, carrier operations, customs processing, or other circumstances outside our reasonable control.

6.1 International Orders

International customers may be responsible for applicable import duties, taxes, customs fees, and other charges imposed by their destination country.

These charges are separate from the product price unless expressly included at checkout.

Customers are responsible for providing accurate shipping information and complying with applicable import requirements.

6.2 Delivery Issues

We will review the circumstances and provide assistance in accordance with our shipping policies and applicable law.

1. RETURNS, EXCHANGES, AND REFUNDS

Returns and exchanges are governed by our published Return & Exchange Policy and applicable consumer protection laws.

Products must generally be returned in their original condition, unused or unworn, with any applicable tags and packaging, unless the return concerns a defect or another statutory right.

Certain products may be subject to specific return conditions where permitted by law.

Any exclusions or limitations will be stated in the relevant product information or Return & Exchange Policy.

Nothing in these Terms limits your rights to remedies required under applicable consumer protection laws.

1. INTELLECTUAL PROPERTY

The Website and its content, including text, photographs, graphics, videos, logos, designs, and other materials, are owned by Blackwater RC or used with permission from their respective owners.

These materials are protected by applicable intellectual property laws.

This license does not transfer ownership of your content to Blackwater RC.

We collect and process personal information in connection with membership accounts, purchases, event registration, attendance records, and communications.

Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy.

By using the Website or registering for activities, you acknowledge that your personal information will be handled as described in that policy.

10.1 Attendance Records

We may receive registration and attendance information from event platforms, including Luma.

These records may include your email address, registration date, attendance status, and check-in information.

Attendance records may be maintained for registered participants whether or not they have created a Blackwater RC membership account.

We use these records to maintain club history, manage event attendance, assess registration patterns, and plan future activities.

We may also use attendance information to calculate internal statistics and turnout estimates.

10.2 Third-Party Services

We use third-party services to operate parts of the Website and provide membership, commerce, communication, and event registration features.

These services may include Shopify, Luma, Klaviyo, and other providers identified in our Privacy Policy.

Your use of a third-party service may also be subject to that provider's terms and privacy practices.

10.3 Marketing Communications

You may choose whether to receive marketing emails from Blackwater RC.

You can withdraw your marketing consent through your account settings or the unsubscribe link in a marketing email.

You may continue to receive necessary transactional or account-related communications, including sign-in codes, order updates, and important service notices.

1. ACCOUNT DELETION

You may request deletion of your membership account through the account settings on the Website.

Deleting your membership account removes your member profile and associated sign-in sessions.

Account deletion does not automatically remove information maintained separately for legitimate operational or legal purposes.

This may include:

Event registration and attendance records.

Purchase and transaction records.

Information maintained by third-party service providers.

Records that must be retained to comply with applicable law.

If you wish to request deletion of your attendance history or other personal information, please contact team@blackwaterrc.com.

We will review and respond to requests in accordance with applicable law and our Privacy Policy.

Deleting your membership account does not automatically cancel event registrations, purchases, or newsletter subscriptions managed through separate services.

1. WEBSITE AVAILABILITY

We aim to keep the Website available and functioning properly.

However, uninterrupted access cannot be guaranteed.

We may temporarily suspend access for maintenance, updates, security, or operational reasons.

We may also modify or discontinue features where reasonably necessary.

We are not responsible for interruptions caused by circumstances outside our reasonable control, except where liability is required by law.

1. EXTERNAL WEBSITES

The Website may contain links to websites or services operated by third parties.

These services are not controlled by Blackwater RC.

We are not responsible for their content, availability, or privacy practices.

You should review the applicable terms and privacy policies before using third-party services.

1. LIMITATION OF LIABILITY

To the extent permitted by applicable law, Blackwater RC is not responsible for losses arising from circumstances outside our reasonable control.

We do not guarantee that the Website will be free from interruptions, errors, or security incidents.

We are not responsible for losses resulting from unauthorized account access caused by a user's failure to protect their email account or verification codes, except where the loss is attributable to our failure to meet applicable legal obligations.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, personal injury, or any other liability that cannot lawfully be excluded or limited.

Your statutory consumer rights remain unaffected.

1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our services, operations, or legal obligations.

The latest version will be published on the Website with an updated revision date.

Where changes materially affect your rights or obligations, we will provide reasonable notice where required by law.

These Terms are governed by the laws of Taiwan, except where mandatory laws provide otherwise.

If a dispute arises, we encourage you to contact us first so we can attempt to resolve the matter.

Any legal proceedings will be subject to the jurisdiction of the competent courts in Taiwan, subject to applicable mandatory jurisdiction and consumer protection rules.
